Terms + Conditions
1. Agreement to Terms
These Terms apply to every order placed with Orange Goods. By approving a quote, paying an invoice, or approving artwork, you agree to these Terms. Any other terms apply only if Orange Goods agrees to them in writing.
2. Definitions
- Mockup: A digital rendering showing the intended design. Mockups are visual approximations, not production specifications.
- Tech Pack: The production document specifying materials, colors, dimensions, placement, and decoration methods.
- Pre-Production Sample: A physical sample, or photos of one, made during an order to confirm the product before the full order is produced.
- Production: Begins when the Tech Pack is approved. Production includes all sampling and manufacturing of the order.
3. Orders + Payment
Full payment of the quoted order amount is required before the Tech Pack. Production begins when the Tech Pack is approved.
Additional costs that arise after quoting or after work begins will be invoiced separately and are due upon receipt. These may include added samples, revisions, change requests, design fees, material substitutions, rush fees, upgraded shipping, taxes, or duties. Orange Goods may pause work or hold shipment of the order until these invoices are paid.
Taxes + Duties: Quoted prices do not include sales tax unless stated on the quote. Applicable sales tax is added to your invoice and is the client's responsibility.
4. Artwork + Approvals
All artwork, placement, spelling, sizing, colors, and specifications must be approved before Production. Please review all artwork and specifications carefully before approval.
- Artwork files: Our in-house design team works with most file types. If submitted artwork requires additional preparation, such as recreating or cleaning up files, design fees may apply. Clients are responsible for the accuracy of the artwork's content. Orange Goods is not responsible for errors in client-provided or approved artwork.
- Written approval: Approvals must be made in writing.
- Partial approvals: A partial approval applies only to the elements it names.
- Finality: Approved Tech Packs and Pre-Production Samples are final.
5. Samples
- Blank samples: Where available, blank (undecorated) samples are provided for the cost of the product plus shipping.
- Decorated samples: Pricing varies by product and decoration method and is quoted before the sample is made. Decorated sample fees are non-refundable.
- Pre-Production Samples: Pre-Production Samples are billed at the cost of the product plus shipping. Where an order includes a Pre-Production Sample, its approval is the final approval before the full order is produced. Some products, methods, or timelines do not allow for Pre-Production Samples. For those items, Tech Pack approval is final approval of the product.
- Sample review: Clients must approve or request changes within 1 business day of receiving a Pre-Production Sample. Late responses extend the production timeline by the length of the delay. If there is no response within 30 days, Section 9 applies.
- Revisions: Each additional Pre-Production Sample is billed at the cost of the sample plus design hours, if applicable. The same review and timeline terms apply to each round.
- Deviations: If a Pre-Production Sample departs from the approved Tech Pack, Orange Goods will correct it at no cost to the client.
6. Mockups vs. Finished Goods
Mockups show the intended design, not the exact result. Translating artwork into embroidery, print, or other decoration requires adjustments based on scale, material, and method. Fine detail, small text, and thin lines may need to be enlarged or simplified to reproduce cleanly. The approved Pre-Production Sample is the standard for the finished product. Where no Pre-Production Sample is made, the approved Tech Pack is the standard.
7. Changes After Approval
Changes requested after approval may be accommodated at Orange Goods' discretion, depending on the status of the order. Orange Goods reserves the right to deny changes if the order's status does not allow for them. Any changes may add cost and void previously quoted delivery dates. Orange Goods reserves the right to charge for the time spent implementing a change, in addition to any material costs.
8. Cancellations & Refunds
Orange Goods does not issue refunds. Cancellations must be made in writing.
- Before Production begins: The amount paid is issued as a credit toward a future Orange Goods order, minus development fees and any other costs incurred up to that point. Orange Goods will confirm the credit amount in writing.
- After Production begins: Orders cannot be canceled.
Credits expire 1 year from the date issued, have no cash value, and are non-transferrable.
9. Paused Orders
If you pause an order, or do not respond to an approval request within 30 days, Orange Goods may treat the order as canceled at its current stage, and Section 8 applies. Estimated timelines restart once the order resumes and are not guaranteed.
10. Production Variations
Custom goods are made by hand, and no two pieces are identical. Variations within normal industry tolerances are expected. Minor variations consistent with the approved Pre-Production Sample or Tech Pack are not defects.
- slight color differences between screens and physical goods
- fabric shade differences between dye lots and washing techniques
- placement and size tolerances
- embroidery density or thread variation
- natural material inconsistencies
- Colors: Colors are matched to Pantone, not screen or hex values.
- Materials: If a specified material is unavailable, Orange Goods will propose the closest substitute for approval.
- Quantities: Final quantities may vary by up to 5% unless a different tolerance is stated on the quote. Differences are billed or credited at the unit price.
- Production recommendations: Orange Goods may recommend changes to decoration size, method, placement, or artwork to achieve a quality result. If a client chooses to proceed against a recommendation made in writing, Orange Goods is not responsible for the resulting outcome, such as reduced legibility, detail, or clarity. Those outcomes are not defects, and any changes or new samples needed to correct them are billed under Sections 5 and 7.
11. Turnaround + Delivery
Timelines are estimates and are not guaranteed. No delivery dates are guaranteed. We will do everything we can to get your order to you by your preferred date, but we cannot guarantee it due to unforeseen events.
Timelines run from final Tech Pack approval and assume production goes smoothly.

Rush production fees are billed as needed. Rush shipping charges may apply when faster delivery is needed. Rush fees and charges speed up production and delivery but do not guarantee a delivery date.
If delays occur, we will communicate clearly, problem-solve quickly, and work toward the best possible outcome.
12. Force Majeure
Orange Goods is not liable for delays or failure to perform caused by events outside its reasonable control. These include natural disasters, severe weather, pandemics, supplier or factory shutdowns, labor disputes, customs holds, carrier disruptions, government actions, and changes in trade regulations or tariffs. Affected timelines will be extended for the duration of the event.
13. Shipping + Risk of Loss
Risk transfers to the client once goods are delivered to the carrier. Orange Goods is not responsible for carrier delays, lost shipments, or delivery issues caused by an incorrect address from the client. If an issue arises in transit, we will help file claims, communicate with carriers, and work toward a resolution.
14. Defects + Returns
Report a manufacturing defect within 5 days of delivery, with clear photos. Orange Goods reserves the right to decline defect claims reported after this period. For low-value items, photos may be sufficient. Otherwise, defective items must be returned before replacements or credits are issued. Custom goods are otherwise non-returnable. If a legitimate production issue occurs, Orange Goods will, at its option, repair, replace, remake, or issue a credit for the affected portion of the order.
15. Payment Terms
We accept payment via Stripe, QuickBooks, Melio, or other approved processors. By submitting payment, you authorize Orange Goods to charge the selected payment method. Supplemental invoices are due upon receipt unless otherwise stated in writing. Overdue invoices accrue interest at the maximum rate permitted by law.
16. Payment Disputes & Chargebacks
Written approvals and confirmed invoices constitute a contractual agreement. You agree to contact Orange Goods to resolve any billing concern before initiating a chargeback or payment dispute. We will contest disputes on goods produced to written approval, using our approval records. The client is responsible for any resulting fees and collection costs.
17. Intellectual Property
You represent that you own or have the legal right to use all artwork you submit. You agree to indemnify Orange Goods against any intellectual property claims arising from client-provided designs. Tech Packs, production files, and Pre-Production Samples created by Orange Goods remain Orange Goods property unless purchased separately.
18. Content + Marketing Usage
Unless otherwise agreed in writing, Orange Goods may photograph, film, or document completed products for its website, social media, email marketing, advertising, portfolio, and sales materials. If your project is confidential, notify us in writing before Production begins.
19. Limitation of Liability
To the fullest extent permitted by law, Orange Goods' total liability will not exceed the amount paid for the order in question. We are not liable for indirect or consequential damages, including lost profits or missed events.
20. Disputes + Governing Law
Before taking any formal action, either party must give written notice of the dispute and allow 10 business days to resolve it. These Terms are governed by the laws of the State of California. Disputes will be resolved in the courts of Los Angeles County, California. The prevailing party is entitled to reasonable attorney's fees.
21. General
If any part of these Terms is found unenforceable, the rest remains in effect. The Terms in effect when an order is placed govern that order.
Privacy Policy
1. Information We Collect
We may collect:
- Contact details: name, email address, phone number, company name, and billing and shipping addresses.
- Project information: artwork, logos, and files you submit, product selections, customization details, quantities, and order history.
- Communications: information you include in emails, texts, forms, and other messages with us.
- Device and usage information: IP address, browser type, device information, and how you interact with our website.
Payment information is processed securely by third-party providers, including Stripe, QuickBooks, and Melio. Orange Goods does not store full credit card information.
2. How We Use Information
We use the information we collect to:
- process and fulfill orders
- create mockups, tech packs, and samples
- communicate about projects and provide customer support
- send marketing communications if you have opted in
- run and measure advertising campaigns
- improve our website and services
- comply with legal obligations and enforce our Terms
3. Email Marketing
If you opt in, we may send promotional emails. You can unsubscribe at any time using the link in any marketing email. We may still send non-promotional emails about your orders or projects.
4. Cookies + Tracking
We use cookies and tracking technologies, including Google Analytics and Meta Pixel, to understand website traffic, measure performance, and improve advertising. These tools may share device and browsing information with advertising partners to show you relevant ads. You can disable cookies in your browser settings, though some website features may not work properly.
Our website does not currently respond to "Do Not Track" browser signals.
5. How We Share Information
We share information only as needed to operate our business, including with:
- Service providers: Stripe, QuickBooks, Melio, HubSpot, Typeform, Klaviyo, Google Workspace, and similar providers that help us process payments, store files, manage customer relationships, and send communications.
- Manufacturing partners: factories and production partners that need project details to make your order.
- Shipping carriers: to deliver your order.
- Advertising partners: such as Meta and Google, as described in Section 4.
We do not sell personal information for money.
We may also disclose information to comply with the law or respond to legal requests, to enforce our Terms, to protect our rights, or as part of a merger, acquisition, or sale of business assets.
6. International Transfers
Some of our service providers and manufacturing partners are located outside the United States. Your information may be transferred to, stored, or processed in other countries where needed to fulfill your order.
7. Children's Data
Our services are intended for businesses and individuals 18 and older. Our website is not directed to children under 13, and we do not knowingly collect personal information from children under 13. We do not knowingly sell or share the personal information of anyone under 16. If you believe a child has provided us with personal information, contact us at hello@orangegoods.co and we will delete it.
8. Data Retention
We keep personal information for as long as needed to fulfill orders, maintain business records, comply with legal obligations, and resolve disputes. When information is no longer needed, we delete it or de-identify it.
9. Data Security
We use commercially reasonable safeguards to protect your information. No system is completely secure, and we cannot guarantee the security of information sent to us online. Please avoid sending sensitive information, such as payment details, by email or text.
10. Your Rights
You may ask to access, correct, or delete the personal information we hold about you by contacting hello@orangegoods.co. We may need to verify your identity before processing your request. Some information may be kept where required by law or for legitimate business purposes, such as order records.
11. Third-Party Links
Our website may link to third-party websites or platforms. We are not responsible for their privacy practices. Please review their policies before sharing information with them.
12. Updates to This Policy
We may update this Privacy Policy from time to time. When we do, we will post the revised policy on this page.
